Terms of Service
Last updated April 6, 2026These Terms of Service ("Terms") govern your access to and use of the services provided by Eidon ("we", "us", or "Eidon"), including the Eidon CLI, the website at eidon.dev, and any related tools, APIs, or documentation (collectively, the "Services"). By using the Services, you agree to these Terms.
If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
1. The Services
Eidon is a developer tool that performs structural analysis of codebases and provides compressed context to AI tools via the Model Context Protocol (MCP). All code analysis runs locally on your machine. Eidon does not host, execute, or store your source code on our servers.
2. Accounts
To use paid features, you must create an account using a valid email address. You are responsible for maintaining the security of your account and license key. You must notify us immediately at support@eidon.dev if you believe your account has been compromised.
You may not share, transfer, or sublicense your license key to any other person or entity unless your plan explicitly permits it (e.g., team or enterprise plans).
3. Plans and Pricing
Eidon offers a free Community plan and paid plans (Pro, Enterprise). Features, repository limits, and pricing for each plan are described on our pricing page. We reserve the right to change pricing with 30 days notice. Price changes do not affect the current billing period of existing subscriptions.
4. Payment and Billing
Paid subscriptions are billed in advance on a monthly or annual basis through Stripe. All fees are non-refundable except where required by applicable law. If payment fails, we may suspend access to paid features after a reasonable grace period.
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You retain access to paid features until then.
5. Acceptable Use
You agree not to:
- Reverse engineer, decompile, or disassemble the Eidon CLI binary
- Circumvent license validation, quota checks, or access controls
- Use the Services to develop a competing product
- Redistribute the Eidon binary outside of its official distribution channels
- Use the Services in any way that violates applicable law
- Attempt to gain unauthorized access to our systems or infrastructure
- Exceed rate limits or abuse API endpoints
6. Your Data
You retain all rights to your source code and analysis output. Eidon does not claim any ownership over your code, your analysis results, or any data stored locally on your machine.
We store only the minimum data required to operate the service: your email address, license key, subscription status, and quota records. See our Privacy Policy for full details.
7. Intellectual Property
Eidon and its associated trademarks, logos, documentation, and source code are owned by Eidon. These Terms do not grant you any rights to use our trademarks or branding without written permission. The license granted to you is limited to using the Eidon CLI and Services as described in these Terms.
8. Open Source Components
Eidon may include open source software components, each governed by its own license. A list of third-party licenses is available in the CLI via eidon licenses. Nothing in these Terms restricts your rights under those open source licenses.
9. Availability and Support
We aim to keep eidon.dev and our API available at all times, but we do not guarantee uninterrupted service. Because Eidon's core analysis runs locally, your workflow is not interrupted if our servers are temporarily unavailable.
Support is provided via email at support@eidon.dev. Response times vary by plan. Enterprise customers may have dedicated support arrangements specified in a separate agreement.
10. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We do not warrant that the Services will be error-free, that analysis results will be accurate or complete, or that the Services will meet your specific requirements.
Eidon is a developer tool that provides information and suggestions. It does not replace professional judgment. You are responsible for reviewing and validating any output before acting on it.
11. Limitation of Liability
To the maximum extent permitted by law, Eidon's total liability for any claims arising out of or relating to these Terms or the Services is limited to the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, regardless of the theory of liability.
12. Indemnification
You agree to indemnify and hold harmless Eidon from any claims, damages, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.
13. Termination
You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms, with notice where practicable. Upon termination, your license to use the Eidon CLI ends. Your locally stored data remains yours.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via the email associated with your account at least 30 days before they take effect. Continued use of the Services after changes take effect constitutes acceptance.
15. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms will be resolved in the state or federal courts located in Delaware.
